Terms & Conditions

This Cube Corpsol Terms of Service (“Agreement”) is entered into by and between Cube Corpsol (“Provider”) and the entity or person placing an order for or accessing the Services (“Customer”). This Agreement consists of the terms and conditions set forth below and any applicable Order Form. The “Effective Date” of this Agreement is the earlier of (a) Customer’s initial access to the Services through any online provisioning, registration, or order process, or (b) the Effective Date of the first Order Form. This Agreement governs Customer’s initial purchase on the Effective Date and any future purchases that reference this Agreement. Cube Corpsol may modify this Agreement as permitted in Section 13.4 (Amendment).

Capitalized terms shall have the meanings set forth in Section 1, or in the section where they are first used.

1. Definitions

1.1 “Authorized Devices”
Devices, including mobile, desktop, or other platforms, that are permitted to access and use the Services.

1.2 “Content”
All code, data, documents, designs, and materials created by or uploaded to the Services by the Customer or its Users.

1.3 “Documentation”
Technical materials provided by Cube Corpsol to the Customer describing the usage, operation, and functionality of the Services.

1.4 “Services”
Cube Corpsol’s proprietary consulting, software, and technology solutions, including any hosted or downloadable applications, tools, or platforms provided as part of the Services. Each Order Form specifies details of the Customer’s subscription to the Services.

1.5 “Order Form”
A document signed by both Parties that details the specific Services to be provided by Cube Corpsol under this Agreement.

1.6 “User”
An individual authorized by the Customer, such as an employee or contractor, to access the Services.

The duration and terms of Customer access to the Services as defined in an Order Form.2. License and use rights

2. License and Use Rights

2.1 Access to Services
Cube Corpsol grants the Customer a non-exclusive, non-transferable license during the Term (as defined in Section 12) to:
(a) Use the Services for internal business purposes in accordance with the Documentation, and
(b) Access any hosted systems, downloadable tools, or software solutions as described in the Order Form.

2.2 Provisioning and Access
Cube Corpsol will provide the necessary credentials, policies, and connections (“Access Protocols”) to enable the Customer and its Users to access the Services. The Customer is responsible for provisioning its Users and ensuring compliance with this Agreement.
